Key tasks and responsibilities

  • The primary responsibility of the Head of Legal UCB AG, London Branch is to provide legal advisory services to the business functions of UCB AG, London Branch on both transactional and non-transactional matters (other than Tax, Data Protection, Compliance and HR laws).

    Functional (role-related responsibilities):
  • Ensuring that legal risk related to any of the matters referred to above is managed and material legal issues are brought to the attention of business colleagues and, if necessary, escalated to the direct line manager and/or the London Branch manager
  • Ensuring appropriate legal coverage of all business desks within UCB AG, London Branch
  • Depending on the types of transactions and the business requirements, providing legal support and advice in the structuring, completion and post-completion stages of transactions, including (but not limited to) drafting/ negotiating the necessary transaction documents (e.g. confidentiality agreements, mandate letters, term sheets, loan agreements, security documents, memoranda of understanding)
  • Providing non-transactional legal advice to the UCB AG, London Branch functions (other than advice on Tax, Data Protection, Compliance and HR laws);
  • Acting as an interface with external counsels, including (but not limited to):
  • contentious/ litigation matters,
  • intra-group matters
  • Producing, maintaining and ensuring constant update of legal/ contractual templates of UCB AG, London Branch
  • Ensuring that the UCB AG, London Branch legal department operates in accordance with UCB AG policies and guidelines

    Managerial (people management responsibilities, planning, resourcing, process/ workflow management and improvement, budget responsibilities, etc.):
  • Responsibility for Branch legal (in-house) spend (control and reporting) and budget planning. Involvement in respect of other Branch legal spend and facilitate (if possible) the optimization of such spend
  • Management/overview of Branch legal function to include: employment issues, adequate legal coverage for business needs, performance appraisal and remuneration
  • The continuing professional development of lawyers, approving external seminars, liaising with Law Society/SRA as regards practicing certificates, in house teaching, trainee progression and secondments

    Organizational (committee memberships, cross-border projects and interactions, local interactions within the branch, authorities, etc.):
  • Providing legal support and advice to the UCB AG, London Branch manager. Attend Branch management meetings, committees and working parties as appropriate
  • Providing legal support on non-transactional UCB AG, London Branch matters (including but not limited to intra Bank/UCB Group matters) and legal support to other support functions (other than in relation to Tax, Data Protection and HR laws)
  • Ensure adequate reporting of London legal matters to the London Branch manager, Head of CIB Legal Germany and liaise with Head of roup CIB Legal by way of biweekly, monthly meetings/calls, quarterly reports and/or bi-annual and annual reviews as requested
  • Maintain and update London legal guidelines
  • Local contact person for OpRisk management 
  • Local contact person for business continuity management
  • Provide appropriate management information as requested

Qualification and competencies

  • Experience and familiarity with the following:
    (i) a broad range of F&A products (in particular ECM and DCM) or
    (ii) a broad range of Markets products or, to the extent there is only experience and familiarity with one of the above, at least understanding of the other
  • Experience with or understanding of a broad range of nontransactional issues, including litigation
  • Ability to focus on issues of materiality, an essential skill for an inhouse lawyer
  • Calm and effective communication skills
  • University degree and qualified lawyer with 10 years plus PQE
  • Significant transactional experience at top tier law firm or management experience in an inhouse banking position
  • An ability to interact with, manage and report on and to, a diverse legal function
